Refund Policy

This policy explains how ascentX handles refunds, credits, cancellations and billing disputes for subscriptions, pilots, implementation work and related services.

1. Overview

ascentX sells business software, pilots, implementation services and related support for vertical AI workspaces. Unless a signed order form, statement of work or separate written agreement says otherwise, all fees are non-refundable once paid.

This policy is designed for B2B subscriptions and professional services. It does not limit any mandatory consumer, withdrawal, cancellation, refund, chargeback or statutory warranty rights you may have under applicable law.

2. Subscription Fees

Subscription fees are billed in advance for the subscription term stated in your order form, checkout flow or invoice. We do not provide refunds or prorated refunds for unused time, unused seats, unused workspaces, unused integrations, reduced usage or cancellation during a committed term.

If you downgrade, reduce usage or remove users during a subscription term, the change will usually take effect at the next renewal unless we agree otherwise in writing.

3. Setup, Implementation and Professional Services

Setup, onboarding, implementation, integration, migration, configuration, training, consulting and other professional services fees are non-refundable once work has started or resources have been allocated.

If an implementation is delayed because required access, data, approvals, personnel or source-system information has not been provided by the customer, fees remain payable according to the applicable order or statement of work.

4. Pilots, Proofs of Concept and Beta Access

Paid pilots, proofs of concept, trials and beta programs are non-refundable unless the applicable written agreement expressly states that a refund right applies.

Free trials may be limited, changed or ended at any time. If a free trial converts to a paid subscription, the paid subscription is subject to the payment and refund terms applicable at conversion.

5. Renewals and Cancellations

To avoid renewal charges, you must cancel or give non-renewal notice before the deadline stated in your order form or subscription terms. If no deadline is stated, notice must be provided at least 30 days before the end of the then-current subscription term.

Failure to use the services, failure to log in, internal procurement delays or a change in business priority does not cancel a subscription or create a refund right.

6. Consumer and statutory rights

ascentX is intended for business customers. If, despite that, you purchase as a consumer in the European Economic Area, United Kingdom or another jurisdiction with mandatory consumer withdrawal or cancellation rights, those rights apply to the extent required by law and cannot be excluded by this policy.

Where an online cancellation, withdrawal or non-renewal mechanism is required by applicable law, ascentX will provide a legally compliant way to submit that request. If you consent to immediate access to digital services before the end of an applicable withdrawal period, you may lose or limit withdrawal rights to the extent permitted by law.

In the United States, automatic renewal and negative option programs may be subject to federal and state requirements for clear disclosure, affirmative consent, renewal reminders and easy cancellation. Where those laws apply, ascentX will honor the applicable mandatory requirements.

7. Service Credits

In some cases, ascentX may provide a service credit instead of a refund. Credits are discretionary unless a signed agreement states otherwise. Credits have no cash value, may only be applied to future ascentX fees and expire 12 months after issuance unless we state a different period in writing.

Service credits are not transferable and may not be used to offset taxes, third-party fees or amounts already paid unless we agree otherwise.

8. Billing Disputes

If you believe an invoice or charge is incorrect, you must notify us in writing within 30 days after the invoice date or charge date. Your notice should describe the disputed amount and the reason for the dispute.

Undisputed amounts remain due while a dispute is being reviewed. We will work in good faith to investigate timely billing disputes and correct confirmed billing errors.

9. Exceptions

We may approve a refund, partial refund or credit where required by law, where an order was billed in error, where duplicate payment occurred or where ascentX materially fails to provide a paid service and does not cure the issue within a reasonable period after notice.

Refund approval in one case does not create a right to future refunds and does not modify the applicable order form, statement of work, Terms and Conditions or this policy.

10. How to Request a Refund or Credit

To request a refund, credit or billing review, contact us at support@ascentx.dev with your organization name, invoice number, account owner, disputed amount and a short explanation of the request.

Approved refunds will generally be returned to the original payment method where possible. Processing times may vary depending on payment provider, bank and location.
